Morton House's Directors - FAICAL SAFOUANE 08:57 - Jul 27 with 28110 views | RAFCBLUE | "This time next year, Rodders - we'll be millionaires". Step forward Faical Safouane; 2nd director of Morton House. The EFL will be doing this, if they are a credible buyer, so there is no reason we should let the EFL have all of the fun. We are saving the Darrell Rose thread as a "Special". There's lots and lots that people need to know about Darrell and his business dealings but that is for another time. Faical Safouane is registered as a working director of Morton House Mgt and First Form Construction Limited. He works alongside his other two directors Darrell Rose and Denise Valarie Courtnell. Faical was born in January 1984 so compared to Denise he is just a young pup running a multi-million pound payroll services company. At the tender age of 37 (I remember those years well), he's made it to the top of the game. Except young Faical: a) Doesn't show up on the electoral register - but who likes to vote for pesky politicians. b) He doesn't have a social media profile on Facebook c) He doesn't use LinkedIn for business development For a guy who is one of three people running a payroll services company in the construction sector he is, shall we say, someone secretive. Faical has multiple addresses if you want to write to him: https://find-and-update.company-information.service.gov.uk/search?q=Faical+SAFOU 1) 111 Watling Gate 297-303 Edgware Road, London, England, NW9 6NB 2) 68 Lombard Street, London, England, EC3V 9LJ 3) Flat 3 Eton Walk, 2 Upton Park, Slough, United Kingdom, SL1 2DP Hmmm - two generic postal boxes and a flat in Slough. I wonder which one would be the best one to find him at? Faical and Denise are linked too. https://find-and-update.company-information.service.gov.uk/company/12528490/fili In March 2020 a company called COLEMAN MANAGEMENT SERVICES LIMITED was set up and Denise was a Director before handing the reigns over to young Faical. Guess what - its filed no accounts so far and its nature of business is "Management consultancy activities other than financial management" That's more than fishy when you consider that Faical's main job is being one of three directors of a payroll company - which is financial management. What would the folks at HMRC say I wonder? Now some questions: 1) How many 37 year old's don't have a Facebook profile in 2021 but are a successful multi-company director? 2) How are Denise, aged 78 and Faical linked? Are they long lost lovers? 3) What first attracted him to agreeing to his company making an multi million pound investment in the Dale? 4) Can he pay left back? There's lots to consider here for the EFL, perhaps someone can pass across a Woodbine (Moroccan or otherwise) whilst we all have a bit of a pause and a think about what really is going on. Darrell Rose still to come folks; he is the big fish in all of this.

Denise and Faical are in between a rock and a hard place here. The strike off is because they are late in filing their accounts to 31 March 2021 which were due on 20 December 2021. The company incorporated on 20 March 2020 and so they have run the longest first period you can legally do (18 months) without filing accounts. Those accounts are now two months late. If they file a stellar set of numbers the question is going to be "where did that all money come from?", noting that in the same time window there are three companies - Village Energy Solutions Limited, RTU HR Limited and See Rail HR Solutions Limited - which are all in liquidation and like Denise and Faical are all linked to Morton House. If they file dormant accounts, the question is going to be "what does this entity do?" noting that in the same time window there are three companies - Village Energy Solutions Limited, RTU HR Limited and See Rail HR Solutions Limited - which are all in liquidation and like Denise and Faical are all linked to Morton House. If they file no accounts the Company will be struck off. We are watching and you can bet the EFL are watching and other authorities like HMRC are certainly going to be watching. Like Morton House, Faical Safouane is the shareholder so not sure what Denise Courtnell is doing here or what she was doing when she was buying up those three payroll companies which suddenly descended into liquidation.

Morton House's Directors - FAICAL SAFOUANE on 08:55 - Mar 25 with 3947 views | RAFCBLUE | Another month. Still no accounts for Denise Valarie Courtnell and Faical Safouane's Slough flat based enterprise. This company has been alive for two years and hasn't managed to do any accounts yet. The overlap with activity here alongside Morton House is quite significant. It's the kind of overlap that would make you want to ask: What is the real reason this company was set up for? https://find-and-update.company-information.service.gov.uk/company/12528490 Safouane doesn't appear able to put out any form of accounts department. Perhaps it is intellectually beyond him remember what actually this company does between shifts for a well known high street retailer?

Morton House's Directors - FAICAL SAFOUANE on 20:09 - Mar 25 with 3646 views | NorthernDale | May I ask a simply question, we all know that another payroll company, in which Morton House had i believe 80% control and rub by somebody who we suspect is linked by family connections to Denise and Curran , was closed down by the HMRC. When they could not explain the source of the companies income or who the money was paid out too. If this happens for example to Morton House, in that they unable to provide accounts, and explanations of income and outgoings, and the business is either dissolved or closed down by the shareholders or the HMRC. What happens to the shares they own in the Dale?
Morton House's Directors - FAICAL SAFOUANE on 20:42 - Mar 25 with 3611 views | EllDale | Do they actually own shares legally though when any transaction has to be approved by the club? Money may have changed hands but has any purchase really been completed? I thought that this was why they’re trying to recoup the money?

Any assets owned by a dissolved company belong to the Crown. I think that's a pub on Milnrow Road

They are trying to recoup the money from the wrong people though. Their plan was to buy 51% of the shares through private transactions without telling the club and taking control by stealth. Their plan failed and they ended paying 10 times the amount for 42% of the company which means jack shit because the other 58% still hold the cards and control the board. And somehow that’s the fault of everyone but themselves!! They can cry all they want but there transaction was with private individuals and not the club. It’s like a pickpocket blaming his potential victim when he gets his hand stuck in his pocket. [Post edited 25 Mar 2022 21:46]

https://find-and-update.company-information.service.gov.uk/company/11215024/fili Government and HMRC look like they are crawling all over this case now. They appointed the liquidator in November 2021 and in February 2022 banned the director (Donna Nada) who couldn't explain where all the money had come from or, more importantly gone whilst under the ownership of Morton House. https://www.gov.uk/government/news/millions-of-pounds-of-unexplained-payments-le The person who appointed the liquidator was the Government. For liquidations its a requirement to publish the details of the liquidator. You can find that out on the Companies House link and the person working on this is: Adam Harris Mazars LLP 0207 063 4000 Someone should give him a ring next week and ask him if he's heard the one about this little payroll company called Morton House that has been in the news with the EFL since mid-2021. Liquidators and Government like to know that sort of thing, particularly where there is a lot of money owed to them at stake.

I don't think they need a reminder. They're all over it. Flight to Dubai anyone?!

You can only imagine that this is linked to the investigation into Village Energy Solutions Limited and the missing millions: https://www.gov.uk/government/news/millions-of-pounds-of-unexplained-payments-le Morton House were in control of that company for a period of time and well, a lot of money is still unaccounted for. Whilst the management of Morton House might change daily - Darrell Rose did not stick around long after the EFL opened it's investigation in August 2021, there is no denying that Coleman Management Services Limited was: 1. Incorporated in March 2020 2. Has never filed any set of accounts. 3. Is managed by two individuals as Directors who are linked with Morton House and thus Village Energy Solutions Limited. 4. Is manage by two individuals who are intrinsically linked to a hostile takeover of a League football club where Captain Sabotage, Alexander Jarvis noted over £1.2m had been ploughed into the enterprise. The Incorporation document lists Denise Courtnell as the 1 shareholder of £1 of the enterprise. So she is the one that gains from the ultimate profits of the company, which currently cannot be explained. HMRC will be crawling all over this like a rash. It appears that the net is tightening. The address of Coleman Management Services Limited is a flat in Slough rather than a faceless London office. Perhaps that will help the authorities with progressing, quickly their inquiries.

You can object to a limited company’s application to be struck off the companies register if you’re a shareholder or other interested party, such as a creditor, and have a reason to stop the application, for example: - you’ve not been told about the company’s decision - you think the declarations on the company’s application are false - the directors have broken the law, for example tax fraud - you want to take legal action against the company Could relevant agencies have been made aware of Coleman Management Services' links to Village Energy Solutions (via Morton House, Faical Safouane etc) and therefore be taking a keen interest? If so, how would that help Faical pass the 'fit and proper persons test' for when Morton House do take control of Rochdale AFC (tm Matt Southall)? Wasn't there talk of a Dale dossier or something on here relatively recently? Could it be linked?

A question was asked at a Fans Forum about the links between Morton House and the failed firm Village Energy Solutions Limited where HMRC are looking for circa £1.8m of unexplained payments AND Morton House controlled it for a period prior to its financial demise: The Fans Forum thread: https://www.fansnetwork.co.uk/football/rochdale/forum/282570/the-fans-forum-ques The missing millions from Village Energy Solutions Limited: https://www.gov.uk/government/news/millions-of-pounds-of-unexplained-payments-le

Telling from the authorities. This was a "compulsory" strike off - so instigated by Companies House / HMRC to remove the company from the record rather than the directors - Denise Valarie Courtnell and Faical Safouane. What is also means is that any assets and liaiblities now belong to the government. So if, Coleman Management Services Limited, was owed any money from a connected company it's no longer ringfenced in the company and belongs to HMRC. Very puzzling why Denise and Faical would start a company and then completely forget to file a set or accounts or choose voluntary liquidation which they would have been in control of. https://find-and-update.company-information.service.gov.uk/company/12528490/offi
